This website and associated services, including the webapp and mobile apps (collectively referred to as the "Service") are provided by Kwantor B.V. (collectively referred to as "Kwantor," "we," "us," or "our"), registered with the Dutch Chamber of Commerce under number 97698482, and with VAT number NL004669591B71. Our registered office is at Kampenringweg 45-D, 2803PE Gouda, Netherlands, and represented by its sole director, Wouter Martijn Roozen. Terms of Use
These Terms and Conditions (the "Terms") govern your use of the Service, and by accessing or using the Service, you agree to be bound by these Terms. Please read these Terms carefully before using the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service. If you disagree with any part of the Terms, then you do not have permission to access the Service.
Description of the Service
Kwantor provides software enabling users to create collaborative projects and arrangements, including remuneration for investments and contributions in kind (such as labor). Kwantor also offers tools to create and manage instruments relating to profit entitlements among involved parties.
The Service is provided "as is," and we do not guarantee the accuracy, legality, suitability, or applicability of the materials provided by the Service. You are solely responsible for determining the legal status and applicability of any agreements or any other arrangements you create through the Service, including the legal validity and applicability of the signatures.
Kwantor does not provide legal advice and using Kwantor does not create an attorney-client relationship. If you need legal advice, you should consult with a licensed attorney in your jurisdiction. You agree to comply with all applicable laws, rules, and regulations in connection with your use of Kwantor.
Model Contracts Disclaimer
Kwantor provides access to model contracts that users may complete by inputting specific information, such as contact details, rates, or other variables, and may review, approve, and sign using integrated digital signature solutions. These model contracts are provided solely as general templates. Kwantor makes no representations or warranties regarding the accuracy, completeness, legality, suitability, enforceability, or fitness of these contracts for your specific circumstances. You are solely responsible for ensuring that any contract you generate, complete, or sign through the Service meets your requirements and complies with applicable laws. You must seek independent legal review before relying on or executing any model contract. Kwantor disclaims all liability for any outcomes arising from your use of these materials.
Regulatory and Compliance Obligations
You explicitly acknowledge and accept that arrangements or instruments created via Kwantor may constitute financial instruments or securities under applicable Dutch and EU securities laws, and may also have implications under labor law, including employment relationships, contractor status, social security obligations, wage taxes, and mandatory labor regulations.
You agree and acknowledge sole responsibility for complying fully with all relevant financial, securities, regulatory, and labor laws, including but not limited to EU Prospectus Regulation, MiFID II, Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations, as well as Dutch labor and social security laws, wage tax requirements, and other regulatory obligations enforced by authorities such as the AFM (Autoriteit Financiële Markten) and DNB (De Nederlandsche Bank).
You explicitly accept the inherent regulatory, financial, labor-related, and tax risks associated with arrangements or instruments created through the Service. Kwantor explicitly disclaims liability for any outcomes, liabilities, or consequences arising from your failure to meet such obligations or from any disputes arising among collaborating parties. You must independently evaluate all regulatory and legal risks and seek appropriate professional advice where necessary.
Beta Status
Kwantor is currently in beta. We do not guarantee the availability or continuity of the Service, and we may modify or discontinue the Service at any time without notice. By using the Service, you acknowledge and agree that Kwantor will not be liable for any loss or damage arising from your use of or inability to use our software during the beta period.
User Account and Security
You are responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You agree to immediately notify Kwantor of any unauthorized use of your account or other security breaches. Kwantor shall not be liable for losses arising from your failure to maintain account security.
Fees and Payments
Pricing information is provided at https://kwantor.com/#pricing.
We reserve the right to change our pricing at any time, but any changes will not affect any existing subscriptions until the end of the current billing cycle. You will be notified of any changes to the pricing at least 30 days before the changes take effect.
Payments for the Service are processed through a third-party payment processor. By using the Service, you agree to comply with the terms and conditions of the payment processor. You are responsible for providing accurate and complete payment information, and you authorize us to charge your payment method for the fees associated with your use of the Service. If your payment method fails or is declined, we may suspend or terminate your access to the Service until the payment is successfully processed.
You may cancel your subscription at any time, and you will not be charged for any future billing cycles after cancellation. However, you will not receive a refund for any fees already paid for the current billing cycle. If you cancel your subscription, you will continue to have access to the Service until the end of the current billing cycle.
All prices listed are exclusive of VAT and other government charges, unless explicitly stated otherwise. You are responsible for determining, collecting, reporting, and remitting any applicable taxes. If we are required to withhold any taxes, we may deduct them from your payments and remit them to the appropriate authorities.
We may offer a free trial for the Service, which will be subject to these Terms. The free version (Sandbox plan) can be used free of charge but has limited functionality such as testnet tokens and demo contracts. The Sandbox plan is not suitable for real-world usage, and there are no guarantees regarding its availability or continuity.
Referral Program
1. Definitions:
“Referral Code” means the unique alphanumeric code generated for each eligible Referrer.
“Referrer” means a user with an active Entrepreneur plan billed annually.
“Referred User” means a new user who enters a valid Referral Code when subscribing to an annual Entrepreneur plan.
“Referral Period” means the rolling 12-month period preceding each referral calculation.
2. Eligibility:
Only users on an Entrepreneur plan with annual billing are eligible to participate as Referrers. Monthly-billed plans are not eligible; their users do not receive Referral Codes and cannot apply codes.
Only Referrers with a valid Dutch VAT registration number are eligible. Referrals by users not registered for VAT in the Netherlands will not qualify for rewards.
3. Referral Code Issuance:
Upon activation of an annual Entrepreneur plan, Kwantor issues one Referral Code per account, visible in Account Settings. Codes are personal and non-transferable.
4. Referral Discount:
A Referred User who enters a valid Referral Code when subscribing to an annual Entrepreneur plan receives:
– 10 % discount as already applied for annual billing; and
– additional 10 % discount for using the Referral Code.
5. Referral Rewards:
For each valid referral within the Referral Period, the Referrer earns a percentage of the net amount charged (exclusive of VAT) to the Referred User:
1st referral: 10 %
2nd referral: 15 %
3rd referral: 20 %
4th referral: 25 %
5th referral: 30 %
6th referral: 35 %
7th referral: 40 %
8th referral: 45 %
9th referral: 50 %
10th referral: 55 %
Percentages escalate per referral, capped at 55 %.
6. Calculation Example:
Annual plan @ €10/user/month × 12 months × 10 users = €1 200.
Less 20 % total discount = €960 charged.
If this is the Referrer’s first valid referral, reward = 10 % × €960 = €96.
7. VAT and Taxes:
a. All referral rewards set out in Section 5 are stated exclusive of VAT. Referral rewards constitute consideration for a separate promotional service supplied by Kwantor to the Referrer.
b. Referrer hereby authorises Kwantor to issue VAT invoices or credit notes on their behalf (self-billing) for the net reward amount plus VAT at the Dutch rate of 21 %.
c. Referrers are responsible for providing their valid Dutch VAT registration number. Failure to do so entitles Kwantor to apply VAT at the full domestic rate and to withhold payment until requirements are met.
d. The Referrer is solely responsible for any other taxes (income tax, corporate tax, etc.) arising from receipt of referral rewards.
8. Payout Procedure:
Within 30 days after each valid referral payment to Kwantor, Kwantor contacts the Referrer at their account email to request bank-account details. Referrer must provide accurate details; failure to do so exempts Kwantor from payout obligations. Payments are made by bank transfer.
9. Termination and Suspension:
Kwantor may suspend or terminate a Referrer’s participation for fraud, abuse or material breach of these Terms. Rewards accrued prior to suspension remain payable, subject to Section 8.
10. Self-Referral Prohibited:
A user may not create additional accounts or otherwise subscribe as a Referred User using their own Referral Code. Any self-referral detected will be void and no reward will be paid.
11. Modification:
Kwantor reserves the right to modify or terminate the Referral Program in whole or in part at any time. Changes apply prospectively; existing referrals remain subject to the terms in effect at the time of referral.
Acceptable Use Policy
You agree not to misuse the Service, including but not limited to activities such as transmitting spam, malware, harmful or illegal content, or engaging in activities that may disrupt the Service or violate applicable laws. Kwantor reserves the right to terminate or suspend your account immediately if you violate this policy.
Service Availability
Kwantor endeavors to provide continuous service availability but does not guarantee uninterrupted service. Scheduled maintenance and occasional downtime may occur. Kwantor will inform you in advance about scheduled maintenance whenever possible but is not liable for any disruption resulting from service downtime or interruptions.
Data Protection and Privacy
Your use of the Service is governed by our Privacy Policy, available at kwantor.com/info/privacy, which outlines how we collect, store, process, and protect your personal data. By using Kwantor, you consent to our Privacy Policy.
Data Ownership
You retain all rights and ownership to data and content you upload or create through the Service. By using Kwantor, you grant us a limited license solely for providing and maintaining the Service. Upon account termination, Kwantor will delete your data within 60 days unless legally required to retain it longer.
Intellectual Property
The Service and all content and materials contained therein, including but not limited to software, text, graphics, logos, images, and other materials, are owned by or licensed to Kwantor and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not use the Service for any other purpose or reproduce, modify, distribute, or otherwise create derivative works of any content or materials from the Service without our prior written consent.
By providing feedback, suggestions, or improvements, you grant Kwantor a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation or compensation to you.
Third-Party Services and Integrations
The Service may integrate or link to third-party services. Your use of third-party services is subject to their respective terms and policies, and Kwantor is not responsible or liable for content, accuracy, legality, or availability of third-party services. You agree to comply with all applicable third-party terms when using their services in connection with Kwantor.
Modification of Terms
wantor reserves the right to modify or update these Terms at any time. Any substantial modifications will be communicated to you via email or through notifications within the Service at least 30 days prior to the effective date. Continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.
Term and Termination
We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
Force Majeure
Kwantor shall not be liable for delays, disruptions, or failures in performance resulting from events beyond our reasonable control, including but not limited to acts of nature, governmental actions, pandemics, wars, terrorism, internet outages, and disruptions to third-party services. In such circumstances, Kwantor will strive to minimize any resulting disruption and notify users when reasonably possible.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY, LEGALITY, SUITABILITY, OR APPLICABILITY OF THE MATERIALS PROVIDED BY THE SERVICE, AND WE EXPRESSLY DISCLAIM ANY LIABILITY FOR ANY ERRORS OR OMISSIONS IN SUCH MATERIALS.
Limitation of Liability
In no event shall Kwantor, its partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Indemnification
You agree to indemnify and hold harmless Kwantor, its affiliates, partners, employees, agents, and suppliers from all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from or related to your violation of these Terms or misuse of the Service.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good faith negotiations. If unresolved within 30 days, the dispute will be subject exclusively to the jurisdiction of the competent courts in the Netherlands.
General
These Terms constitute the entire agreement between you and Kwantor with respect to the Service and supersede all prior or contemporaneous communications and proposals. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
